They may still be developing their product, looking for funding, finalising their premises, hiring employees or waiting for the right time to launch.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">During this period, it is easy to assume that there is nothing to comply with because the company has no customers and no sales.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That assumption can create problems.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A company can have <strong>zero revenue and still have ROC, accounting, income-tax, GST or director-related obligations<\/strong>, depending on its registrations, transactions and circumstances.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For example, a company with no sales but an active GST registration may have a different compliance position from a company that has not obtained GST registration. Similarly, a company with no revenue but with professional fees, bank charges or other expenses still has financial transactions that need to be considered.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">So, the better question is not:<br><br><strong>\u201cDid my company make any money?\u201d<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Instead, founders should ask:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Is the company still active?<\/li>\n\n\n\n<li>Has the business actually started?<\/li>\n\n\n\n<li>Does the company have GST registration?<\/li>\n\n\n\n<li>Has it incurred any expenses?<\/li>\n\n\n\n<li>Has it received or issued any invoices?<\/li>\n\n\n\n<li>Has shareholder capital been introduced?<\/li>\n\n\n\n<li>Do the directors have applicable KYC obligations?<\/li>\n\n\n\n<li>Is the registered office still valid?<\/li>\n\n\n\n<li>Have applicable ROC filings been completed?<\/li>\n\n\n\n<li>Does the company still need to exist?<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">This guide explains what founders should review when a newly incorporated company has <strong>zero revenue or has not yet started business<\/strong>.<\/p>\n\n\n\n<h2 id=\"h-does-zero-revenue-mean-zero-compliance\" class=\"wp-block-heading\"><strong>Does Zero Revenue Mean Zero Compliance?<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>No.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is one of the most important distinctions for a newly incorporated company.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Consider two companies.<\/p>\n\n\n\n<h3 id=\"h-company-a\" class=\"wp-block-heading\"><strong>Company A<\/strong><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Incorporated in April<\/li>\n\n\n\n<li>No sales<\/li>\n\n\n\n<li>No employees<\/li>\n\n\n\n<li>No GST registration<\/li>\n\n\n\n<li>No bank transactions except incorporation-related expenses<\/li>\n<\/ul>\n\n\n\n<h3 id=\"h-company-b\" class=\"wp-block-heading\"><strong>Company B<\/strong><\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Incorporated in April<\/li>\n\n\n\n<li>No sales<\/li>\n\n\n\n<li>GST registration obtained<\/li>\n\n\n\n<li>Company bank account active<\/li>\n\n\n\n<li>Director expenses paid through the company account<\/li>\n\n\n\n<li>Professional fees incurred<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Both companies have <strong>zero revenue<\/strong>, but their compliance position may not be identical.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Company B has an active GST registration and financial transactions that need to be considered. Company A may have a different set of obligations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Therefore, founders should not use revenue alone to determine whether compliance is class=\"wp-block-paragraph\"><strong>Zero revenue does not automatically eliminate applicable corporate compliance.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A registered company may still have obligations relating to its books of account, financial statements, annual filings, director-related requirements and other applicable MCA filings.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The exact requirements depend on the company&#8217;s structure, status and circumstances.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This means:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>\u20b90 sales does not necessarily mean \u20b90 ROC compliance.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Depending on the company, continuing compliance may involve:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Books of account<\/li>\n\n\n\n<li>Financial statements<\/li>\n\n\n\n<li>Auditor-related requirements, where applicable<\/li>\n\n\n\n<li>Annual return<\/li>\n\n\n\n<li>Applicable MCA forms<\/li>\n\n\n\n<li>Director-related filings<\/li>\n\n\n\n<li>Registered-office records<\/li>\n\n\n\n<li>Other event-based filings<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The absence of customers or sales does not automatically remove these obligations.<\/p>\n\n\n\n<h3 founder may incorporate a company in April and plan to launch in October.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">During those six months, the company may have no customers or revenue.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However, the company still exists as a legal entity during that period.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is therefore important to phrase <strong>\u201cno transactions\u201d<\/strong> can mean different things.<\/p>\n\n\n\n<h3 id=\"h-situation-1-no-operational-activity\" class=\"wp-block-heading\"><strong>Situation 1: No operational activity<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">There are no customers, sales, purchases or business expenses.<\/p>\n\n\n\n<h3 id=\"h-situation-2-no-revenue-but-expenses-exist\" class=\"wp-block-heading\"><strong>Situation 2: No revenue but expenses exist<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The company may have paid:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Accounting fees<\/li>\n\n\n\n<li>Bank charges<\/li>\n\n\n\n<li>Professional fees<\/li>\n\n\n\n<li>Software account or paid expenses on behalf of the company.<\/p>\n\n\n\n<h3 id=\"h-situation-4-gst-registration-is-active\" class=\"wp-block-heading\"><strong>Situation 4: GST registration is active<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The company may have no sales but still have applicable GST return obligations.<\/p>\n\n\n\n<h3 Accounting Records Still Matter<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">\u201cNo revenue\u201d does not necessarily mean \u201cnothing to record\u201d.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Even a company that has not started operations may have financial entries such as:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Bank class=\"wp-block-paragraph\">That distinction becomes important when preparing the company&#8217;s accounts and reviewing its tax and corporate compliance.<\/p>\n\n\n\n<h1 id=\"h-does-a-company-with-no-income-need-to-file-an-income-tax-return\" class=\"wp-block-heading\"><strong>Does a Company With No Income Need to File an Income-Tax Return?<\/strong><\/h1>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Do not assume that no income means no income-tax compliance.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A company&#8217;s income-tax obligations need to be assessed based on the applicable tax framework and its actual circumstances.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A company may have:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>No sales<\/li>\n\n\n\n<li>No profit<\/li>\n\n\n\n<li>Expenses only<\/li>\n\n\n\n<li>Share capital<\/li>\n\n\n\n<li>Bank interest<\/li>\n\n\n\n<li>Preliminary expenses<\/li>\n\n\n\n<li>Other financial entries<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Therefore:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>No profit does not automatically mean no income-tax compliance.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The applicable return and reporting position should be determined based on the company&#8217;s records and the tax framework applicable to the relevant period.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For a newly incorporated company, it is therefore important to distinguish between:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>No revenue<\/strong><strong><br><\/strong><strong>No taxable income<\/strong><strong><br><\/strong><strong>No tax compliance<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These are not necessarily the same thing.<\/p>\n\n\n\n<h1 id=\"h-important-income-tax-update-for-2026\" class=\"wp-block-heading\"><strong>Important Income-Tax Update for 2026<\/strong><\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">There is an important tax-framework transition in 2026.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The <strong>Income Tax Act, 2025 came into effect from 1 April 2026<\/strong>.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This means companies need to identify the correct tax framework and relevant tax year when reviewing their obligations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For example, income relating to FY 2025\u201326 is dealt with under the earlier framework for AY 2026\u201327, while Tax Year 2026\u201327 falls under the new Income Tax Act, 2025.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For a company that has not started business, this distinction is still relevant.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The company should review:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The relevant financial\/tax year<\/li>\n\n\n\n<li>Whether any income was received<\/li>\n\n\n\n<li>Whether expenses were incurred<\/li>\n\n\n\n<li>Whether other financial transactions occurred<\/li>\n\n\n\n<li>The applicable return requirements<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The fact that the company has not started commercial operations does not, by itself, answer all of these questions.<\/p>\n\n\n\n<h1 id=\"h-what-if-the-company-has-gst-registration-but-no-sales\" class=\"wp-block-heading\"><strong>What If the Company Has GST Registration but No Sales?<\/strong><\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">This is another common issue for newly incorporated businesses.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Suppose you registered your company and obtained GST registration because you expected to begin business.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The launch is then delayed.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">There are:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>No sales<\/li>\n\n\n\n<li>No taxable supplies<\/li>\n\n\n\n<li>No tax collected<\/li>\n\n\n\n<li>No business activity<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Does GST compliance automatically stop?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>No.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If the GST registration remains active and the taxpayer is required to file the applicable returns, the absence of transactions may mean that <strong>nil returns need to be filed<\/strong> rather than filing nothing.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">So:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>No sales does not automatically mean no GST return.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The specific GST filing obligations depend on the taxpayer&#8217;s registration and applicable filing category.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This is why an inactive business with an active GST registration should periodically review its GST compliance rather than simply stop filing because there are no invoices.<\/p>\n\n\n\n<figure class=\"wp-block-image for every inactive company.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It depends largely on what you intend to do with the business.<\/p>\n\n\n\n<h3 id=\"h-if-the-business-will-start-soon\" class=\"wp-block-heading\"><strong>If the business will start soon<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">You may decide to retain the GST registration and continue the applicable GST compliance.<\/p>\n\n\n\n<h3 id=\"h-if-the-launch-has-been-postponed\" class=\"wp-block-heading\"><strong>If the launch has been postponed<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Review whether retaining the registration is appropriate based on your expected business plans.<\/p>\n\n\n\n<h3 id=\"h-if-the-business-has-been-permanently-discontinued\" class=\"wp-block-heading\"><strong>If the business has been permanently discontinued<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">You can assess whether GST cancellation is appropriate.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The important distinction is:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>GST cancellation is not the same as company closure.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Cancelling the GST registration does not automatically dissolve the company.<\/p>\n\n\n\n<h1 class=\"wp-block-paragraph\">If the company itself is no longer required, its corporate status needs to be addressed separately.<\/p>\n\n\n\n<h1 id=\"h-what-is-a-dormant-company\" class=\"wp-block-heading\"><strong>What Is a Dormant Company?<\/strong><\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">A company that is not currently carrying on business may potentially consider <strong>dormant company status<\/strong>, provided it satisfies the applicable legal conditions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Companies Act provides a framework for dormant companies, including companies formed for a future project or to hold an asset or intellectual property and meeting the applicable conditions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">However:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>An inactive company does not automatically become a dormant company.<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Dormant status is a formal statutory status.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An eligible company needs to follow the prescribed process and meet the applicable conditions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This can be useful to consider where founders want to preserve a company for a future project rather than immediately close it.<\/p>\n\n\n\n<h1 id=\"h-dormant-is-not-the-same-as-abandoned\" class=\"wp-block-heading\"><strong>Dormant Is Not the Same as Abandoned<\/strong><\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">These terms are sometimes
